Professor Afsharipour's Paper Selected for Top 10 Corporate and Securities Articles of 2011

An article authored by UC Davis Law Professor Afra Afsharipour was selected to appear on the Corporate Practice Commentator's annual list of the "Top 10 Corporate and Securities Articles of 2011."  The poll tabulates the top selections by teachers of corporate and securities law from a pool of more than 580 published articles.

Professor Afsharipour's article, "Transforming the allocation of deal risk through reverse termination fees," was published in the Vanderbilt Law Review.  The article presents an empirical study of reverse termination fees (RTFs) in strategic transactions, revealing the changing and increasingly complex nature of RTF provisions and how parties are using them to transform the allocation of deal risk and engage in contractual innovation.

Afra Afsharipour is an Acting Professor of Law at UC Davis School of Law who researches in the areas of comparative corporate law, corporate governance, corporate social responsibility, mergers and acquisitions, and transactional law.
