King Hall Team Participates in National Transactional LawMeet

On February 28, students from UC Davis School of Law competed in the 2014 National Transactional LawMeet in Los Angeles, California. The regional event took place at UCLA School of Law and featured teams representing 12 law schools from California, Washington, Arizona, Colorado, and Utah.

This year's case statement involved the negotiation of a stand-alone Indemnification Agreement to supplement a Stock Purchase Agreement to address certain adverse events that occurred prior to the execution of the deal. Each team was selected to represent one side of the deal, with the UC Davis team selected to represent the seller. After submitting their Indemnification Agreement, the team reviewed and marked-up an Indemnification Agreement drafted by a team representing the buying firm. At the competition, the team participated in two rounds of negotiations over the Indemnification Agreement.

Jayson Nayagam '14 and Josephine Lee '15 competed in the regionals and were assisted by Trevor Church '16. The team was advised by Professor Afra Afsharipour.  The team would like to thank King Hall Professor Robert Hillman, King Hall student Chris Gorman '14 and King Hall alumni David Richardson '07 and Rahul Chandhok '11 for their assistance.
